Terms of Service

These Terms govern your access to and use of MedPass. By creating an account or using the service, you agree to these Terms.
1. The service
MedPass provides a portable patient health profile and a check-in workflow for clinics. Features may change as we improve the product. MedPass is a software service — it does not provide medical advice, diagnosis, or treatment.
2. Accounts
- You must provide accurate information and keep it up to date.
- You are responsible for activity under your account and for keeping your credentials secure.
- You must be at least 18, or use the service under the supervision of a parent or legal guardian.
- Clinic accounts represent the clinic entity; the person who creates the account confirms they have authority to bind that clinic.
3. Acceptable use
You agree not to:
- Upload information you do not have the right to share.
- Access another person's profile without their explicit consent.
- Reverse-engineer, scrape, or attempt to disrupt the service.
- Use MedPass to send spam, malware, or unlawful content.
- Use the service in violation of applicable laws, including healthcare and privacy laws.
4. Patient data and consent
Patients own the data in their profile. By sharing a handoff code with a clinic, the patient consents to that clinic's authorized staff viewing their profile. Clinics agree to access patient data only for legitimate care and administrative purposes, and to comply with all applicable healthcare laws, including HIPAA where relevant.

5. Plans, billing, and trials
- Paid plans are billed in advance on a recurring basis until cancelled.
- Fees are non-refundable except where required by law.
- We may change pricing with reasonable advance notice; changes take effect at the next renewal.
- Free trials, when offered, automatically convert to a paid plan unless cancelled before the trial ends.
6. Service availability
We work hard to keep MedPass reliable, but the service is provided "as is" without warranties of any kind. We may perform maintenance, change features, or temporarily suspend the service when necessary.
7. HIPAA & medical disclaimer
MedPass is not a healthcare provider and does not deliver medical care.
In an emergency, call your local emergency number (911 in the U.S.) or go to the nearest emergency room. Do not use MedPass to request urgent care.
Information available through MedPass is for informational purposes only and is not medical advice, diagnosis, or treatment. Always consult a qualified clinician with questions about a medical condition, medication, or treatment.
For U.S. clinics that qualify as covered entities under HIPAA, MedPass acts as a business associate with respect to Protected Health Information (PHI) processed on the clinic's behalf, and will sign a Business Associate Agreement (BAA) with eligible clinics on paid plans. Until a BAA is executed, clinics should not upload PHI to MedPass. Clinics and patients outside the United States are responsible for compliance with their local healthcare and privacy regulations.

8. Intellectual property
MedPass and its content (excluding patient and clinic data) are owned by MedPass, Inc. and protected by applicable laws. You may not copy, modify, or create derivative works from the service except as expressly permitted.
9. Termination
You may stop using MedPass at any time and delete your account from settings. We may suspend or terminate accounts that violate these Terms or that create risk to other users or the service. On termination, your right to use MedPass ends; data is handled as described in the Privacy Policy.
10. Limitation of liability
To the maximum extent permitted by law, MedPass, Inc. is not liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly. Our total liability for any claim arising out of or relating to the service is limited to the amount you paid us in the 12 months preceding the event giving rise to the claim.
11. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced in-app and reflected in the "Last updated" date above. Continued use of MedPass after changes take effect constitutes acceptance of the updated Terms.
